Investor Portal Access and Confidentiality Agreement

Purpose of Agreement
This Investor Portal Access and Confidentiality Agreement (“Agreement”) governs access to materials, communications, and resources made available through the CyberDive Investors Recovery Group (“CDIRG”). The purpose of this agreement is to protect the confidentiality of investor coordination efforts and ensure that information shared among participants remains secure.

Confidential Information
Participants may receive access to confidential information including but not limited to:

• investor identities and contact information
• internal communications and discussions
• strategic analyses or recovery planning
• financial information or documentation
• investigative materials
• documents, presentations, or reports shared through the portal

All such information is referred to collectively as “CDIRG Information.”

Confidentiality Obligations
By accepting this agreement, the participant agrees that CDIRG Information will be treated as strictly confidential and will not be disclosed, distributed, reproduced, transmitted, or otherwise shared with any unauthorized person or entity without prior written authorization from CDIRG administrators.

Restricted Parties
Participants specifically agree that CDIRG Information will not be shared with:

• current employees of CyberDive
• former employees of CyberDive
• officers, directors, or agents of CyberDive
• contractors or consultants affiliated with CyberDive
• members of the media
• individuals on public forums or social media
• any other unauthorized third party

Non‑Distribution and Screenshot Prohibition
Participants agree that they will not:

• copy or redistribute CDIRG documents
• forward internal communications
• capture screenshots of the portal
• record meetings or discussions
• repost or summarize confidential materials online

All materials remain restricted to authorized CDIRG participants.

Permitted Disclosures
Disclosure of CDIRG Information may occur only:

• to the participant’s own legal counsel
• to professional financial advisors
• when required by applicable law

Any such disclosure must remain limited and subject to confidentiality obligations.

Forum Conduct
Participants agree that discussions within the CDIRG forum are confidential and intended solely for investor coordination. Participants will avoid posting defamatory statements, confidential financial data, or personal attacks and will respect other participants. CDIRG administrators reserve the right to remove posts that violate these guidelines.

Non‑Interference
Participants agree not to represent themselves as acting on behalf of CDIRG when communicating with company management, employees, media, regulators, or other external parties unless explicitly authorized by CDIRG administrators.

Indemnification
Participants agree to indemnify and hold harmless CDIRG organizers, administrators, contributors, and participating investors from and against any claims, damages, liabilities, losses, or expenses, including legal fees, arising from the participant’s misuse of the portal or breach of this agreement.

Limitation of Liability
The CDIRG website and portal are provided as coordination tools for investors. Organizers and administrators shall not be liable for damages arising from reliance on information shared through the platform.

Term of Agreement
The confidentiality obligations under this agreement remain in effect for five (5) years from the date of acceptance or until the relevant information becomes publicly available through lawful means not involving a breach of this agreement.
